This Financial Services Guide (FSG) is dated 4 August 2026 and is issued by Hello Clever Pty Ltd ABN 69 637 950 497 AFSL No. 564985 (Hello Clever, we, our or us).

1. Purpose of this Financial Services Guide

This FSG sets out key information about the financial services we may provide to you. It is designed to assist you to make an informed decision about the financial services we provide and contains important information about:

  • who we are and how to contact us;
  • the financial services we are authorised to provide;
  • how we are paid in relation to the financial services we provide; and
  • how to make a complaint.

We strongly recommend that you read and understand this FSG before you engage us to provide you with any financial services. Please contact us if you have any questions.

2. Who we are

We are the issuer of the Hello Clever Platform, which is comprised of an online payment gateway (Hello Clever Solution) and Accounts. The Hello Clever Platform is issued to merchants and allows a merchant to receive funds for payments made by its customers. Once those funds are received into the Hello Clever Platform, the merchant can then use the transfer, holding, multi-currency and conversion services described in this document.

The Hello Clever Platform is made up of two Accounts:

  • a Payments Account, which enables you to collect payments from third parties in supported currencies; and
  • a Treasury Account, which is a multi-currency wallet that enables you to hold, convert, withdraw and send funds in supported currencies.

The Hello Clever Platform is a non-cash payment facility and has the following features. In each case, the merchant first receives funds for payments made by its customers, and can then use the following services in respect of the funds received:

  • the ability to receive payments from the merchant's customers in supported currencies through the Hello Clever Solution;
  • once funds are received, the ability to hold balances in multiple supported currencies;
  • once funds are received, the ability to undertake foreign currency conversions on supported currencies; and
  • once funds are received, the ability to transfer, withdraw and make non-cash payments to third-parties.

We only act on our own behalf with respect to the financial services we provide.

3. Documents you may receive

We may provide you with general financial product advice. General advice is financial advice that does not take your personal needs, objectives or financial situation into account. General advice may be provided to you individually, or as part of broader communications we may distribute through our social media channels or through written collateral such as brochures or other information sheets.

If you acquire the Hello Clever Platform, you will receive a Product Disclosure Statement (PDS). The PDS contains important information about the Hello Clever Platform and Hello Clever Solution, including features, benefits, risks, costs, fees and charges. The PDS is intended to help you to make an informed decision about whether to acquire the Hello Clever Platform. We encourage you to read it carefully.

You should also read the Target Market Determination (TMD) that applies to the Hello Clever Platform before deciding whether to acquire it. The TMD describes the class of customers the product has been designed for.

The Hello Clever Platform and Hello Clever Solution are governed by Terms and Conditions and Merchant Agreement, which will be provided to you. You can also access our Privacy Policy from our website (www.helloclever.co).

4. Financial services we are authorised to provide

We hold an Australian Financial Services Licence (AFSL No. 564985) and are authorised to provide the following financial services to retail and wholesale clients:

  • provide general financial product advice in relation to non-cash payment products and foreign exchange contracts;
  • deal in a financial product by issuing non-cash payment products and foreign exchange contracts;
  • deal in a financial product by applying for, acquiring, varying or disposing of non-cash payment products and foreign exchange contracts on behalf of another person; and
  • making a market in foreign exchange contracts.

We only provide factual information or general advice about our services, which does not take your personal circumstances into account. As a result, before acting on any information or advice we provide, you should consider the appropriateness of it having regard to your personal objectives, financial situation and needs. You should carefully consider the PDS of the Hello Clever Platform before making a decision about whether to acquire it.

6. How we are paid for our services

Any general financial product advice we provide is free of charge.

We will charge you fees in connection with the Hello Clever Solution and Hello Clever Platform. These include fees for processing and collecting payments, for converting funds from one supported currency to another, and for holding funds in supported currencies. We may charge a percentage based fee or a fixed fee for these activities. Our current fee rates are set out in the Fee Schedule, which will be provided to you along with the Terms and Conditions and Merchant Agreement.

Where we convert one currency to another, the exchange rate we quote includes a spread. The spread is a mark-up built into the rate and is not disclosed to you separately. It is different from any transaction fee we charge, which is disclosed separately in the quote. The total conversion rate and the fees applicable to a conversion are set out in the quote we provide to you, as described in the PDS.

Hello Clever may introduce new fees and charges or vary its existing fees and charges, in accordance with your Merchant Agreement, from time to time.

7. How to give us instructions

If you wish to use our services, you may give us your instructions via the Hello Clever Solution or your Hello Clever Platform, and your foreign exchange instructions by telephone or messaging application.

8. How we and our staff are remunerated

Our directors and employees are remunerated by salary.

Our employees may also be eligible to receive bonuses. Bonuses are determined on a balanced scorecard basis, which assesses a range of individual and team metrics. These metrics are both financial and non-financial. It is not possible to determine in advance what, if any, bonus an employee will receive, as bonuses are not attributed to any particular product or service that an employee provides.

You may request more details about the way our directors and employees are remunerated within a reasonable time after receiving this FSG and before any financial services are given to you.

9. Disclosure of any conflicts of interest

We do not have any relationships or associations which might influence us in providing you with our financial products and services.

10. Compensation arrangements in place

Hello Clever maintains professional indemnity insurance to cover the general advice we provide. This policy complies with the requirements imposed under the Corporations Act 2001 (Cth).

If you have a complaint or concern about the products and services provided to you, we encourage you to contact us about your concern. There is no charge for making a complaint. When your complaint is received by us it will be investigated. We will respond to you as soon as reasonably practicable. If we are unable to resolve your complaint within 30 days or provide you with a written response within that time that you are not happy with, you may contact the Australian Financial Complaints Authority (AFCA).
